Role Overview

We are looking for an Assistant Company Secretary to join our team

 

In your role you will create efficient monitoring systems and incentives to ensure that executive behaviour aligns with the interests of stakeholders,

 

You will plan and monitor relationships among stakeholders, Board of Directors, executive officers, independent auditors and the Board Audit & Risk Committee to ensure compliance with rules and policies of the organisation. 

 

You will identify and resolve issues and recommend preventive and corrective measures.

 

This role is based in our Basingstoke office twice per week with the rest of your time working from home, therefore you will need to be based a reasonable commute from Basingstoke

You Will

  • Ensure the routine maintenance of statutory records for Genus plc and its UK companies and attend to filing formalities as appropriate.
  • Support the development and roll-out, and ongoing compliance with a Global directorships policy Group subsidiaries as necessary. 
  • Work with Group Tax and other stakeholders to assist with the incorporation of new legal entities in line with business requirements, and the elimination of entities in line with the Group’s Business Simplification Plan.
  • Ensure the Group’s structure chart and Group subsidiary database on GEMS are maintained and routinely validated and updated. Working with appropriate finance, legal and business contacts for each entity, ensure that local compliance requirements are for each Group subsidiary are understood, monitored and completed annually and subsidiary companies’ statutory documents are maintained centrally.
  • Working with Group finance, oversee the preparation and approval of UK statutory accounts, as well as other routine UK subsidiary Board approvals.
  • Oversee the administration and co-ordination of signature and document legalisation requests for Group subsidiaries, and support the contract managers to maintain an appropriate matrix of delegated signature authorities for UK subsidiary companies.
  • Provide guidance and support to the CSA in fulfilling their duties and developing their role.

Requirements

  • Degree preferred (law, business, finance)
  • CGI and CSQS certifications
  • Experience of working in a UK-listed plc required, including experience of administering employee and executive share plans.
